Welcome to HalaPop. These Terms and Conditions (the "Terms") govern your access to and use of the website at drinkhalapop.com, together with any of our other online stores, pages, and services where these Terms are posted (the "Site"), and your purchase of our products.

The Site is operated by HALAPOP BEVERAGES TRADING L.L.C, a limited liability company registered in Dubai, United Arab Emirates under Trade License No. 1502171 issued by the Dubai Department of Economy and Tourism ("HalaPop", "we", "us", or "our"). By accessing the Site, placing an order, or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms do not affect your statutory rights as a consumer under the laws of the United Arab Emirates, including Federal Law No. 15 of 2020 on Consumer Protection and its Executive Regulations. Where any part of these Terms conflicts with those rights, your statutory rights prevail.

1. About These Terms

These Terms apply to all visitors and customers of the Site. We may also publish additional policies and notices (such as our Privacy Policy, Cookies Policy, and any delivery or returns information) that form part of these Terms. Please read them together. If we offer a specific promotion, subscription, or service with its own terms, those terms apply in addition to these.

2. Eligibility

By placing an order or using the Site, you confirm that you are able to enter into a binding contract under the laws of the United Arab Emirates. If you are a minor, you should use the Site and place orders only with the involvement and consent of a parent or guardian. We may ask you to confirm your details before accepting an order.

3. Guest Checkout and Your Account

You do not need to create an account to shop with us. You can browse and check out as a guest. Creating an account is optional and simply makes checkout and order tracking easier. If you do create an account, you are responsible for keeping your login details confidential and for all activity that takes place under your account. Please give us accurate and current information, and tell us promptly if you believe your account has been used without your permission.

4. Orders and Acceptance

When you place an order, you are making an offer to buy the products in your cart. We will send you an order acknowledgement by email, but this is not acceptance of your order. A contract between you and HalaPop is formed only when we confirm that your order has been dispatched or, where applicable, made available for collection or delivery.

We may decline or cancel an order at our discretion, for example where:

the product is unavailable or incorrectly priced or described;
we suspect fraud, abuse, or unauthorised use of a payment method;
the order appears to be for resale, or is unusually large or repeated in a way that suggests bulk reselling; or
we are unable to deliver to the address you provide.

If we cancel an order that you have already paid for, we will refund the amount you paid for the cancelled items.

5. Pricing and Payment

All prices are shown in United Arab Emirates Dirhams (AED) unless stated otherwise, and are inclusive of Value Added Tax (VAT) at the applicable rate where required by law. Delivery charges, where they apply, are shown separately before you complete your order.

We take reasonable care to ensure that prices are correct. If we discover an error in the price of products you have ordered, we will contact you to confirm whether you wish to continue at the correct price or cancel the order. Payment is processed through secure third party payment providers. We do not store full card details on our own systems. By submitting payment information, you confirm that you are authorized to use the chosen payment method.

6. Promotions, Discounts, and Vouchers

From time to time we may offer promotions, discount codes, or vouchers. These are subject to any specific terms stated at the time, cannot be exchanged for cash, and may be withdrawn or amended at any time before you place an order. Only one promotion may apply to an order unless we state otherwise. If we run a scheduled discount on a product within one week of your purchase, you may be entitled to a refund of the price difference in line with applicable UAE consumer protection rules. Please contact us to make such a request.

7. Delivery and Fulfilment

We sell directly through the Site and make our products available through authorized distributors and quick commerce and marketplace platforms in the United Arab Emirates, such as Noon, Amazon, and Careem. Where you buy through one of those platforms, the platform's own terms, delivery arrangements, and returns process will also apply to your purchase.

For orders placed directly on the Site, we will provide estimated delivery times at checkout. These are estimates and not guarantees. Risk in the products passes to you on delivery to the address you provide or to a person you have authorized to receive them. Ownership passes to you once we have received full payment and the products have been delivered. 8. Returns, Refunds, and Cancellations

We want you to enjoy HalaPop. Your rights under UAE consumer protection law are not affected by anything in these Terms, and we will never seek to exclude rights that the law gives you.

Because our products are food and beverage items, they are perishable and consumable. For health and safety reasons, products cannot be returned. You may request a replacement or a refund where a product is:

defective, damaged, or spoiled on arrival;
expired or close to expiry on delivery;
not the product you ordered; or
otherwise not as described.

Please contact us within 7 days of receiving your order, keep your invoice or order confirmation, and where possible share a photo of the product and packaging so we can assist quickly. Where a valid claim is made, we will repair, replace, or refund the affected product in line with applicable law. Approved refunds are returned to your original payment method within a reasonable period, subject to your bank or payment provider's processing times. We may ask to inspect or collect the affected product before completing a refund or replacement.

9. Product Information, Nutrition, and Images

We take care to describe our products accurately, including ingredients, nutritional information, and allergen details. Information is provided for general reference. If you have allergies, intolerances, or specific dietary needs, please read the product label on the can or packaging before consuming, as labelling on the physical product prevails. Product images, colours, and packaging are for illustration and may vary slightly from the item you receive.

10. Health and Wellness Disclaimer

HalaPop products are prebiotic sodas intended to be enjoyed as part of a balanced lifestyle. They are food and beverage products and are not medicines, supplements, or a treatment for any medical condition. Any statements about ingredients or wellbeing are general in nature and are not medical advice. If you are pregnant, nursing, managing a health condition, or unsure whether a product is suitable for you, please consult a qualified healthcare professional before consuming.

11. Intellectual Property

The Site and all of its content, including the HalaPop name, logo, brand, designs, text, graphics, images, and product packaging, are owned by or licensed to HalaPop and are protected by intellectual property laws. We grant you a limited, personal, nontransferable license to view and use the Site for your own noncommercial use. You may not copy, reproduce, distribute, modify, or use our brand or content for commercial purposes without our prior written permission.

12. Reviews, Comments, and User Content

If you submit reviews, comments, photos, or other content to us or about us, you grant HalaPop a non exclusive, royalty free, worldwide license to use, display, reproduce, and share that content for marketing and promotional purposes, with attribution where reasonable. You confirm that the content is your own, is accurate, and does not infringe the rights of others. Please keep submissions lawful and respectful. We may remove content that is offensive, misleading, unlawful, or otherwise inappropriate.

13. Third Party Links and Platforms

The Site may contain links to third party websites, platforms, and services that we do not own or control, including delivery platforms, marketplaces, and social media. We provide these links for convenience only. We are not responsible for the content, products, or practices of third parties, and your dealings with them are governed by their own terms and policies. We will, however, do our best to support you if something goes wrong with an order placed through an authorized partner.

14. Acceptable Use

You agree to use the Site lawfully and not to:

use it for any unlawful, fraudulent, or harmful purpose;
infringe our intellectual property rights or those of others;
upload or transmit viruses or any malicious or harmful code;
attempt to gain unauthorized access to the Site or interfere with its operation;
harvest or collect data about other users; or
post content that is abusive, defamatory, discriminatory, or otherwise objectionable.

We may suspend or end your access to the Site if we reasonably believe you have breached these Terms.

15. Availability of the Site

We aim to keep the Site available and working well, but we provide it on an "as available" basis. We do not guarantee that the Site will always be uninterrupted, secure, or free of errors, and we may suspend, withdraw, or restrict all or part of it for business or operational reasons. We will try to give reasonable notice where we can.

16. Disclaimers and Limitation of Liability

Our products are provided in compliance with applicable UAE and GCC food safety and consumer protection laws. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under the law, including liability for death or personal injury caused by our negligence, for fraud, or for any statutory rights you have as a consumer.

Subject to the above, and to the fullest extent permitted by law, HalaPop is not liable for indirect or consequential loss, and our total liability arising out of or in connection with any order is limited to the price you paid for the products concerned, unless UAE consumer protection law requires otherwise.

17. Indemnity

You agree to indemnify HalaPop against reasonable costs, claims, and damages that arise from your breach of these Terms or your misuse of the Site to the extent permitted by law. We hope this never becomes necessary.

18. Privacy and Data Protection

We handle your personal information in accordance with our Privacy Policy and applicable UAE data protection law, including Federal Decree Law No. 45 of 2021 on the Protection of Personal Data. Please read our Privacy Policy and Cookies Policy to understand how we collect and use your information.

19. Force Majeure

We are not responsible for any failure or delay in performing our obligations where this is caused by events beyond our reasonable control, including supply chain disruption, transport delays, acts of government, or other circumstances that could not reasonably be foreseen or avoided. We will take reasonable steps to limit the impact and resume normal service as soon as we can.

20. General

If any part of these Terms is found to be unenforceable, the rest will remain in effect. We may transfer our rights and obligations under these Terms to another company, and this will not affect your rights. You may not transfer your rights or obligations without our consent. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, Cookies Policy, and any order specific terms, form the entire agreement between you and HalaPop in relation to your use of the Site.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, our products, or the law. The current version will always be posted on this page with an updated date. Changes take effect when posted, and your continued use of the Site after that means you accept the updated Terms.

22. Governing Law and Jurisdiction

These Terms and any dispute arising out of them are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai will have jurisdiction, without affecting any mandatory consumer protection rights you may have in your place of residence within the UAE.
